Aither — Terms of Service
Provisional Pilot Version — Effective 2026-09-17. These terms are provisional and apply during the Aither beta pilot. A final, attorney-reviewed version will be published before general availability. Questions: info@aitherpro.com.
These Terms of Service ("Terms") are between Aither, Inc., a Delaware corporation ("Aither", "we", "us") and the business subscribing to the Aither platform ("Customer", "you"). By subscribing to Aither or by using the platform, you agree to these Terms.
1. The service
Aither is a marketing platform for exterior remodeling contractors. The service includes:
- A hosted website for the Customer's business, built and updated by Aither
- Content generation, editing, and publishing tools
- Lead capture (website forms, tracked phone calls, chat)
- Integrations with third-party services the Customer authorizes (Google, Meta, CRM, etc.)
- Reporting on marketing performance and lead attribution
- Optional paid ads management, reviews and reputation management, social media, and other services added over time
The specific features included in your subscription are described in your Order Form or plan page. Aither may add or improve features from time to time. Any material reduction in features affecting your current plan will be communicated in advance.
2. Accounts and access
Owner and users. Your Aither account has one or more Owners who represent the Customer. Owners can add additional users, set permissions, and manage billing. Each user must have their own login credentials; sharing credentials violates these Terms.
Aither operations access. Aither's operations team has cross-account access for support, setup, and platform administration. Every action taken by Aither ops on your account is recorded and visible to Owners in the audit log.
Security. You are responsible for protecting your account credentials and for all activity under your account. Notify us immediately at info@aitherpro.com if you suspect unauthorized access.
3. Content and intellectual property
Your content. You own the content you provide to Aither (business information, photos, videos, intake responses, custom copy). By providing content, you grant Aither a non-exclusive license to host, adapt, and display it as needed to provide the service. When you cancel, our license to use your content ends within 90 days (see section 9).
Homeowner content on your site. When a homeowner submits information through a form, call, or chat on a Customer website, the Customer is the primary data controller of that homeowner's information. Aither processes it on the Customer's behalf.
Aither's platform. Aither owns the software, templates, workflows, models, and platform infrastructure. Nothing in these Terms transfers those to you.
Third-party content. Some content shown on your website may come from third parties (manufacturer certifications, industry awards, review platform badges). You are responsible for having the rights to display those on your site.
AI-generated content. Aither uses AI to help generate website copy, drafts, and other content. All AI-generated content is subject to your review and approval before it goes public. You retain final editorial authority.
4. Fees and billing
Subscription. You pay a monthly or annual subscription fee for Aither, as agreed at signup. Fees are charged in advance and are non-refundable except as described below.
Payment method. You must keep a valid card or bank account on file. Failed payments will pause your service after a grace period and may result in termination.
Third-party costs. Aither's subscription does not include costs you pay directly to third parties. This includes ad spend (Google Ads, Meta, LSA, Nextdoor), bought leads (Angi, Thumbtack), call tracking overages, printing and postage for direct mail, and any other pass-through costs. Aither may facilitate management of these but does not process the payments for them.
Fee changes. Aither may change subscription fees for future billing periods with at least 60 days' notice. Changes do not apply retroactively.
Refunds. Fees paid are not refundable except:
- Aither's material breach of these Terms
- Where required by applicable law
- As explicitly stated in a written agreement between us
5. Uptime and support
Uptime target. Aither aims for 99.9% availability of the Customer-facing admin app and 99.95% availability of hosted contractor websites. Availability is measured monthly, excluding scheduled maintenance we announce in advance and events outside our reasonable control.
Support. Support is available via email (info@aitherpro.com) during business hours. Response targets and channels expand at higher subscription tiers per your Order Form.
Incident response. For a service incident that materially affects your ability to use the platform, we will investigate promptly, communicate status, and restore service. We do not commit to a specific recovery time except as stated in an SLA attached to your Order Form.
6. Third-party integrations
You control which third-party services (Google, Meta, CallRail, HubSpot, WordPress, etc.) you connect to Aither. When you connect a service, Aither accesses only the data needed to provide the connected functionality, and only for as long as you keep the connection active.
The third-party providers' own terms and privacy policies apply to your use of those services. Aither is not responsible for their availability, changes, or termination.
Aither may add or remove supported integrations over time. If we retire an integration you rely on, we will give at least 60 days' notice.
7. Approvals and autopilot
Approval by default. Most changes Aither makes to your public-facing content, listings, ads, or profiles require Owner approval before they go live. You may loosen approval requirements per your subscription's approval rules.
Ads autopilot (future release). When Aither's paid-ads features become available, Aither may make bid adjustments, negative-keyword additions, and campaign pauses within Owner-set limits without prior approval. Every autopilot action is logged and reversible. Total ad budget increases always require Owner approval.
Spend caps. Owners set a spending limit that Aither will not exceed without explicit approval.
8. Acceptable use
You may not:
- Use Aither to promote illegal products or services
- Impersonate another business or individual
- Publish false claims about products, warranties, credentials, or licenses
- Send unsolicited commercial email through Aither
- Attempt to reverse-engineer, disassemble, or otherwise probe the platform for weaknesses
- Interfere with the security, performance, or availability of the platform
- Use the platform in ways that violate applicable law or third-party rights
We may suspend or terminate accounts that violate this section.
9. Cancellation and data export
Cancellation. You may cancel at any time from your Aither account or by writing to info@aitherpro.com. Cancellation takes effect at the end of the current billing period.
Data export. On cancellation, we provide a full export of your content and data (pages, images, forms, leads, redirects, reports) in standard formats. The export is available for 30 days.
Site continuity. For 30 days after cancellation, we keep your Aither-hosted website online at your existing domain so you can migrate to a new host without an outage. After 30 days, the site is taken down unless you subscribe to an optional hosting-only plan.
Call tracking numbers. If Aither provisioned tracking phone numbers on our accounts, those numbers keep forwarding to your primary business number for 90 days after cancellation, then are released.
Deletion. After the 90-day window, all Customer data is permanently deleted from Aither systems except (1) aggregated marketing statistics that do not identify you, (2) records we are required by law to retain, and (3) records in backup systems that age out within our routine backup cycle.
10. Warranties and disclaimers
We warrant that Aither will perform substantially as described in the documentation available to Customers at signup. We do not warrant that using Aither will produce any specific business outcome (leads, appointments, revenue). Marketing results depend on many factors outside our control, including the Customer's own execution, market conditions, and third-party platform behavior.
Except for the warranty above, Aither is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of liability
To the maximum extent permitted by law:
- Aither is not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption.
- Aither's total cumulative liability arising out of or related to these Terms will not exceed the fees Customer paid to Aither in the twelve months preceding the event giving rise to the claim.
These limitations apply even if Aither has been advised of the possibility of the damages and even if a remedy fails of its essential purpose.
12. Indemnification
By Customer. You will defend and indemnify Aither against any third-party claim arising out of (a) content you provide, approve, or publish, (b) your violation of these Terms, or (c) your violation of any law or third-party right.
By Aither. We will defend and indemnify you against any third-party claim that the Aither platform, as provided by us and used per these Terms, infringes that third party's intellectual property rights. If such a claim is made, we may (at our option) modify the platform to be non-infringing, procure the right for you to keep using it, or terminate your subscription and refund pre-paid fees for the unused portion.
13. Term and termination
Term. These Terms start when you first accept them or begin using Aither and continue until terminated per this section.
Termination for convenience. Either party may terminate the subscription at the end of the current billing period by giving written notice. Cancellation from within the Aither account satisfies notice.
Termination for cause. Either party may terminate immediately for the other's material breach if the breach is not cured within 30 days of written notice.
Effect of termination. On termination, your right to use Aither ends immediately, sections that by their nature survive (Content ownership, Limitation of liability, Indemnification, this Termination section, Governing law) continue.
14. Confidentiality
Each party may share confidential information with the other during the relationship. The receiving party will (a) use confidential information only to perform under these Terms, (b) protect it with reasonable measures, and (c) not disclose it to third parties except as needed to perform under these Terms and under similar confidentiality obligations.
Aggregate, anonymized platform statistics that do not identify Customer or its homeowners are not confidential and may be used by Aither for benchmarking, product development, and marketing.
15. Governing law and dispute resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Delaware, and both parties consent to that venue.
16. Miscellaneous
Entire agreement. These Terms, together with your Order Form and any DPA or SLA we sign, are the entire agreement between us. They supersede all prior discussions.
Amendments. We may amend these Terms. Material amendments will be communicated at least 30 days before they take effect. Continued use of Aither after the effective date constitutes acceptance.
Assignment. You may not assign these Terms without our consent, except to an affiliate or acquirer of substantially all your assets. We may assign these Terms to an affiliate or successor in connection with a merger, acquisition, or reorganization.
Notices. Notices to Aither must be sent to info@aitherpro.com. Notices to Customer will be sent to the account contact email.
Force majeure. Neither party is liable for failure to perform due to events outside its reasonable control, including natural disasters, war, terrorism, labor disputes, network failures, or acts of government.
Independent contractors. The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, or agency relationship.
No third-party beneficiaries. These Terms are between Aither and Customer. No other person has rights under them.
Severability. If any provision is found unenforceable, the rest of the Terms remain in effect.
